General Terms and Conditions of Sale
Article 1 — Purpose
These General Terms and Conditions of Sale (GTCS) apply to all services and sales concluded by MPEB SAS (hereinafter "the Seller") with its professional customers (hereinafter "the Customer").
Article 2 — Orders
Every order is formalised by a signed purchase order or an exchange of emails confirming the references, quantities, prices and lead times. The order becomes firm only after written acceptance by the Seller.
Article 3 — Prices and payment
Prices are stated in euros excluding tax, unless otherwise indicated. The applicable VAT applies. Unless otherwise agreed, payment is due 30 days from the invoice date. Any late payment results in the application of the statutory penalties.
Article 4 — Delivery lead times
The lead times communicated are indicative and non-contractual, unless otherwise agreed in writing. No delay may give rise to penalties or to termination of the contract.
Article 5 — Ownership of the goods
The products remain the property of the Seller until full payment of the price, in principal and ancillary charges.
Article 6 — Warranty
Our products carry a statutory warranty of conformity in accordance with articles L.217-4 et seq. of the French Consumer Code. The contractual warranty period is 12 months from delivery, unless otherwise stated in the quote.
Article 7 — Applicable law and disputes
These GTCS are governed by French law. In the event of a dispute, the parties shall endeavour to reach an amicable solution. Failing that, the competent court shall be that of the jurisdiction of MPEB SAS's registered office.
